This Membership Agreement is a legal contract between you ("Member", "you", or "your") and Elevé Club ("Elevé Club", "we", "us", or "our"), the operator of the Elevé Club platform, accessible via our website at www.joineleveclub.com, including all related websites, platforms, tools, content, and services provided (collectively referred to as the "Service"). By purchasing a Membership or using the Service, you agree to be bound by the terms and conditions set forth in this Agreement. Please read it carefully before proceeding.
1. DESCRIPTION OF SERVICES

The term 'Membership' refers to access for the duration of the subscription period, whether monthly or yearly, that you have selected. Should Elevé Club cease to operate or discontinue the Membership, your access will be terminated accordingly. Any applicable refunds or compensation will be provided in line with UK consumer protection laws, with specific consideration given to the remaining period of your subscription.

MEMBERSHIP APPLICATION AND APPROVAL
To apply for Membership, you must visit www.joineleveclub.com and complete the application form. Upon submission, your application will be reviewed, and Membership will be granted at Elevé Club’s sole discretion. Once approved, this Agreement will govern your use of the Service.

REGISTRATION AND ACCOUNT MANAGEMENT
Upon registering for the Service ("Account") or submitting an application for Membership, you agree to provide true, accurate, current, and complete information as requested in the registration form ("Registration Data"). You also agree to maintain the accuracy of your Registration Data and promptly update it as necessary.

Elevé Club reserves the right to suspend or terminate Accounts at its discretion, including the right to reclaim or remove usernames. You acknowledge that you do not have ownership of your Account, and all rights related to your Account are the exclusive property of Elevé Club.
PRIVACY AND DATA USAGE
By using the Service, you consent to Elevé Club’s collection and use of personal data as described in our Privacy Policy, which is incorporated herein by reference. You understand that Elevé Club may collect personal information and usage data to provide the Service and improve your experience. This may include the use of cookies for purposes such as analytics and targeted advertising.
From time to time, Elevé Club may share Member contact information with trusted partners and sponsors for marketing purposes, in order to offer you relevant opportunities, services, and offers. You may opt out of receiving such communications at any time by following the opt-out instructions included in the communication or by contacting Elevé Club directly.
You have the right to access, rectify, or erase your personal data at any time. For more information on how we use and protect your data, please refer to our Privacy Policy.
PAYMENT AND BILLING
By selecting a Membership option, you agree to pay Elevé Club the applicable fees for the Service. The Membership is available on two payment options:

MODIFICATIONS AND TERMINATION
Elevé Club reserves the right to amend, modify, or discontinue any aspect of the Service, including Membership benefits, at its discretion and without prior notice. In the event of such changes, you will be notified accordingly.
Membership is offered on the understanding that it is a commitment, subject to Elevé Club’s continued operation of the Service. If Elevé Club ceases to operate or terminates the Service, your Membership may be revoked, and no further obligations will be incurred by Elevé Club. Any applicable refunds or compensation will be provided in line with UK consumer protection laws.
DISCLAIMER OF WARRANTIES AND LIMITATION OF LIABILITY
The Service is provided on an "as-is" and "as-available" basis. Elevé Club makes no representations or warranties of any kind, express or implied, regarding the operation of the Service, its accuracy, reliability, or completeness. You agree that your use of the Service is at your own risk.
Elevé Club shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising out of or in connection with your use of the Service, except where liability cannot be excluded by law, such as for personal injury or death caused by Elevé Club’s negligence.
GOVERNING LAW AND DISPUTE RESOLUTION
This Agreement shall be governed by and construed in accordance with the laws of the United Kingdom. Any disputes arising from or relating to this Agreement shall be subject to the exclusive jurisdiction of the courts in the United Kingdom.
You may also be eligible to use the European Online Dispute Resolution platform (https://ec.europa.eu/consumers/odr/) to resolve disputes.
NOTIFICATION SERVICE
By applying for Membership, you agree that Elevé Club may contact you using any and all contact information you provided during the registration process, including, but not limited to, updates regarding your account, newsletters, invitations to meet-up opportunities, and other relevant opportunities that may arise for our Members. This may also include communications relating to the use and sharing of Your Content (as defined below).
You may opt out of any of our email communications at any time by using the unsubscribe link found in the footer of our emails.
YOUR CONTENT
You retain full ownership of any and all content, information, and materials that you post, share, or otherwise provide to Elevé Club or through the Service ("Your Content"). For content that is protected by intellectual property rights, including but not limited to photos, videos, and other similar content ("IP Content"), you grant Elevé Club the following licence:
A non-exclusive, transferable, sub-licensable, royalty-free, worldwide, perpetual, irrevocable licence to use, display, modify, distribute, and create derivative works of the IP Content that you post or provide in connection with the Service. This licence applies in accordance with the settings on your account and the features of the Service that you choose to utilise.
You acknowledge and agree that Elevé Club is not responsible for the content of your posts and that it may be visible to other users of the Service. You are solely responsible for Your Content and for ensuring that it does not violate any laws or third-party rights.
By posting or providing Your Content, you affirm, represent, and warrant that:
Event Content: Should you attend any Eleve events, whether virtual or in person, you grant Elevé Club the right to use any photographs, videos, or recordings of you taken during the event for promotional and advertising purposes, both on the Elevé Club platform and in any other media. You further waive any rights to privacy, publicity, or other similar rights with regard to the use of such content.

Except for content that you upload ("Your Content"), and content provided by other users ("Others’ Content"), all content, advice, and information available on the Site and Services, including intellectual property (IP) rights, remains the exclusive property of www.joineleveclub.com ("Our Content"). We grant you a limited, non-transferable, and revocable licence to access and use Our Content solely to enjoy the Services, in accordance with these Terms. You are not permitted to use Our Content for any other purpose without prior written consent from us.
Payment for Services: You agree to pay all fees and charges to your account in accordance with the applicable terms and conditions in effect at the time of the transaction. Payments must be made via an approved payment provider (e.g., Visa, MasterCard, or other recognised card issuers). You are responsible for any fees, charges, or other liabilities related to the use of your payment provider. By providing payment details, you authorise Elevé Club to charge your payment provider for all fees due.
You understand and agree that your use of the Services is at your sole risk. The Services and any events organised by Elevé Club are provided "as is" and "as available", with all faults. To the fullest extent permitted by law, Elevé Club expressly disclaims all warranties, including but not limited to implied warranties of merchantability, fitness for a particular purpose, and non-infringement.

Any content accessed or downloaded from the Services is done at your own risk, and you are responsible for any resulting damage to your devices or systems.
Consumer Rights: If you are a consumer located in the United Kingdom, please note that you are entitled to receive the Services performed with reasonable care and skill in accordance with applicable consumer protection laws.
You acknowledge and agree that Joineleveclub.com, its affiliates, officers, employees, and agents (collectively Elevé Club Parties") are not liable for any third-party conduct, including that of operators of external websites. The risk of any injury, loss, or damage arising from interactions with third parties rests solely with you.
To the fullest extent permitted by UK law, Elevé Club, its licensors, content providers, and affiliates will not be liable for any damages of any kind arising from or related to your use of the Sites and/or Services, including, but not limited to, direct, indirect, special, incidental, consequential, exemplary, or punitive damages, whether arising from tort (including negligence), breach of contract, or otherwise. Your use of the Services is at your own risk.
Nothing in these Terms shall exclude or limit Elevé Club’s liability for death or personal injury caused by its negligence, fraud, or fraudulent misrepresentation, or any other liability which cannot be excluded or limited under applicable law.
You agree to indemnify, defend, and hold harmless Elevé Club and its officers, directors, employees, agents, licensors, and content providers from and against any claims, losses, liabilities, damages, costs, expenses, or fees (including reasonable legal fees) arising from your breach of these Terms, or your use of the Sites and/or Services.
The trademarks, service marks, and trade dress on the Sites and Services are the property of Elevé Club and its licensors. You may not use Elevé Club’s trademarks in any way that may cause confusion among consumers or disparage or discredit Elevé Club. All other trademarks, service marks, and trade names used on the Site are the property of their respective owners, and may not be used without the owner's permission.
Except for Your Content, all content included on or made available through any Services, such as text, graphics, logos, images, audio clips, digital downloads, and data compilations, is the property of Elevé Club or its content suppliers and is protected by UK and international copyright laws. The compilation of all content included in or made available through any Services is the exclusive property of Elevé Club and is protected by UK and international copyright laws.
All rights not expressly granted in these Terms are reserved by Elevé Club.
The Services may contain links to third-party websites. These links are provided for your convenience only. Elevé Club has no control over third-party websites and is not responsible for their content, privacy practices, or the services provided on those websites. If you decide to access any third-party website linked from the Site, you do so at your own risk. Your use of those sites is subject to the terms and conditions and privacy policies of the respective third-party websites.
We recommend that you review the terms of use and privacy policies of any third-party websites before engaging with their content or services.
Any products or services offered by third parties that you obtain as a Member or visitor (including but not limited to discounts, giveaways, or Member perks) are provided by such third parties. Elevé Club accepts no liability in connection with these products or services. You should refer to the third-party provider’s terms and conditions for further information and clarification regarding those products or services.
Elevé Club does not endorse, guarantee, or accept responsibility for the quality, accuracy, or reliability of any third-party products or services offered through the Service.
A. Initial Dispute Resolution
We encourage you to contact us at hello@joineleveclub.com to resolve any concerns or issues you may have with your use of the Service. Most disputes or issues can be resolved through open and amicable communication.
B. Agreement to Binding Arbitration
If a dispute cannot be resolved informally within 30 days, you agree that the dispute will be resolved by binding arbitration under the rules of the London Court of International Arbitration (LCIA) or another mutually agreed-upon arbitration service. The arbitration will be conducted in English and within the United Kingdom.
C. Class Action and Class Arbitration Waiver
Both you and Elevé Club agree that any arbitration will be conducted individually and not as part of a class action or collective arbitration. You expressly waive any right to initiate or participate in any class action or class-wide arbitration.
D. Small Claims Court
Notwithstanding the above, either party may seek relief in a small claims court for claims that fall within its jurisdiction. If the claim is eligible for resolution in a small claims court, it may be pursued in such a court, in accordance with applicable UK laws.
E. 30-Day Right to Opt-Out
You have the right to opt out of the binding arbitration and class action waiver provisions by sending written notice to hello@joineleveclub.com within 30 days of registering for the Service. If you opt out, you will not be bound by the arbitration or class action waiver provisions, but you may still be required to resolve disputes under other applicable procedures provided in these Terms.
F. Exclusive Venue for Litigation
In the event that arbitration is not applicable, or the dispute cannot be resolved through arbitration, any litigation relating to the Membership Agreement shall be conducted exclusively in the courts of the United Kingdom, and you agree to submit to the jurisdiction of the courts located in the United Kingdom.
These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of law principles. You agree to submit to the exclusive jurisdiction of the courts of England and Wales.
If you are a consumer residing in the UK, nothing in these Terms affects your statutory rights under UK law, including your right to a refund or cancellation as provided by the Consumer Rights Act 2015. You are entitled to a refund if the Service is not as described, unfit for purpose, or of unsatisfactory quality.
If you are a consumer, under the UK Consumer Contracts (Information, Cancellation, and Additional Charges) Regulations 2013, you have a right to cancel any service within 14 days of entering into a contract, provided you have not already begun using the service. For more information on cancellation rights, please refer to our Refund Policy.
No waiver of these Terms by Elevé Club shall be deemed a further or continuing waiver of any provision of these Terms or any other term or condition. Any failure of Elevé Club to assert a right or provision under these Terms shall not constitute a waiver of such right or provision. If any provision of these Terms is held by a court of competent jurisdiction to be invalid, illegal, or unenforceable for any reason, such provision shall be eliminated or limited to the minimum extent necessary, so that the remaining provisions of these Terms will continue in full force and effect.
You are responsible for maintaining the accuracy of your login credentials and for ensuring the information you provide is up-to-date. You are solely responsible for any activity that results from the use of your login credentials on the Service.
To use the Service, you will need to create an account by providing login information, including a username and password. You can browse public pages of the Service without registering, but to take full advantage of the Service, you must create an account. Your account is personal to you, and you must not share your login credentials with any third party or allow third parties to access your account.
You agree to use reasonable efforts to prevent unauthorised access to the Service and to preserve the confidentiality of your username and password. You must notify us immediately if you become aware of any breach in the secrecy of your login credentials. Elevé Club may communicate with you by email or by posting notices on the Service. You agree to receive electronic communications related to your use of the Service. This may include, but is not limited to, notifications about security, privacy, or administrative matters.

We welcome your feedback, including creative ideas, suggestions, inventions, or materials (collectively "Creative Ideas"). However, please be aware that by submitting any Creative Ideas, you grant Elevé Club the exclusive, irrevocable right to use those ideas for any purpose, commercial or otherwise, without compensation to you.
Elevé Club is not obligated to keep any submitted Creative Ideas confidential, and we will not be liable for any use or disclosure of such ideas. We also reserve the right to use, modify, or adapt any submitted Creative Ideas at our discretion.
We encourage users to be cautious when submitting personal information on the Service. You should avoid posting personal phone numbers, addresses, or other personally identifiable information in public areas of the Service.
You are solely responsible for the content you submit ("User Content") on the Service. Elevé Club does not endorse or guarantee the truthfulness, accuracy, or reliability of any User Content. You acknowledge that any reliance on content posted by other users or third-party providers is at your own risk.

These Terms, along with our Privacy Policy, constitute the entire agreement between you and Elevé Club with respect to your use of the Services. They supersede all prior and contemporaneous agreements, representations, and understandings regarding the Services.
Elevé Club reserves the right to modify these Terms at any time. If we make a material change, we will attempt to notify you via an announcement on the Service or an email. Continued use of the Service after such modifications will constitute your acceptance of the updated Terms.
